What I Look for in Technical Due Diligence

By Anton Marrero

Every startup pitch begins with the market opportunity. But I have learned — sometimes painfully — that the technology underneath determines whether that opportunity can actually be captured.

My technical due diligence framework evaluates five dimensions:

Architecture scalability. Can this system handle 100x current load without a rewrite? If the answer involves "we will figure it out later," that is a red flag.

Technical debt ratio. Every codebase has debt. What matters is whether the team tracks it, prioritizes it, and has a plan. Unacknowledged debt compounds silently until it kills velocity.

Security posture. Not just "do they have encryption" but "do they have threat modeling, access controls, incident response plans, and dependency management?"

Data architecture. How data flows, where it lives, how it is governed. This determines compliance readiness and future AI capability.

Team capability. Can the current engineering team build what the roadmap requires? Or is there a skills gap that fundraising alone cannot close?

Founders who can walk me through these five dimensions with clarity and honesty immediately earn my attention.
